Aortem Affiliate Program Terms

These Terms govern participation in Aortem's affiliate program. If you have a separate written partner, reseller, referral, or services agreement with Aortem, that separate agreement controls to the extent of any conflict.

1) Scope and Acceptance

By applying to, enrolling in, or participating in the Aortem Affiliate Program, you agree to these Terms and any applicable program settings presented in the affiliate platform or affiliate dashboard. These Terms apply to your promotion of Aortem products, services, subscriptions, and other offers that Aortem makes available through the Program.

These Terms are in addition to Aortem's general Terms of Service and Privacy Policy. Where these Affiliate Program Terms address a topic directly, they control for Program participation. For all other matters, Aortem's general site terms continue to apply.

2) Enrollment and Eligibility

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate, complete, and current contact, payment, and tax information.
• Aortem may approve, reject, suspend, or revoke any application or account at its discretion.
• You must keep your affiliate portal credentials secure and promptly notify Aortem of any suspected misuse.
• You may not participate through a false identity, impersonated business, or misleading website or social profile.

3) Affiliate Links, Codes, and Program Tools

• You may use only links, promo codes, creative assets, and tracking identifiers issued or approved by Aortem.
• You may not alter, mask, overwrite, intercept, or otherwise tamper with Aortem tracking technology.
• You may not sublicense the Program or create sub-affiliate structures without Aortem's prior written approval.
• You must follow any product-specific or campaign-specific rules displayed in the affiliate dashboard.

4) Required Disclosures and Truthful Marketing

If you promote Aortem in a way that could earn you compensation, a commission, or another benefit, you must clearly and conspicuously disclose that material connection. Your disclosure must be easy to notice, easy to understand, and placed close to the endorsement, affiliate link, discount code, or call to action it relates to.

• Use disclosures that an ordinary consumer can understand.
• Make disclosures in the same language as the promotion.
• For social posts, videos, and short-form content, place the disclosure in the post or content itself when needed.
• Do not hide disclosures on a profile page, footer, about page, or behind a click such as "more."
• Only make statements about Aortem that are accurate, honest, and supported by your real experience or approved materials.
• You may not make performance, security, pricing, legal, or product claims that Aortem has not authorized or substantiated.

5) Prohibited Conduct

• No false, deceptive, misleading, defamatory, or unsubstantiated claims about Aortem or any competitor.
• No fake reviews, fake testimonials, fake social proof, review gating, or manipulated ratings.
• No self-referrals, employee referrals, circular purchases, related-party transactions, or other non-arm's-length activity unless Aortem expressly approves it in writing.
• No cookie stuffing, forced clicks, invisible iframes, click injection, adware, malware, toolbars, or unauthorized redirects.
• No bidding on Aortem brand terms, confusingly similar misspellings, or official-looking domain or social handle variants unless Aortem approves it in writing.
• No impersonation of Aortem, Aortem support, Aortem sales, or an official Aortem partner certification you do not have.
• No unauthorized coupon, rebate, cashback, or discount claims.
• No spam, unlawful SMS, deceptive headers, deceptive subject lines, or failure to honor unsubscribe or opt-out requests.
• No promotion on sites, channels, or communities primarily engaged in unlawful, infringing, hateful, abusive, or harmful conduct.

6) Qualified Referrals and Commissions

Commissions are earned only on referral events that Aortem tracks to your approved affiliate identifier and that satisfy the qualification rules then in effect. Qualification rules may cover, among other things, eligible products, excluded products, existing customers, free trials, attribution windows, lead validity, refund windows, and minimum payment status.

• A referral is not qualified if it results from conduct that violates these Terms or applicable law.
• Aortem may reject or reverse commissions for refunds, chargebacks, cancellations, fraud, duplicate referrals, unpaid invoices, or policy violations.
• Aortem may place commissions on hold during compliance review, fraud review, or revenue verification.
• Aortem's records and tracking data control absent a clear and documented error.
• Unless expressly stated otherwise in the dashboard or in writing, existing customer expansions, renewals, or opportunities already in Aortem's pipeline are not automatically commissionable.

7) Payouts, Taxes, and Reversals

• Payout timing, thresholds, supported payout methods, and supported currencies are shown in the affiliate dashboard.
• Unless the dashboard or a written program schedule says otherwise, commissions are reviewed and paid on a monthly cycle after verification.
• You must provide any required payout and tax documentation before Aortem releases funds.
• You are responsible for your own taxes, filings, duties, exchange fees, bank fees, and similar charges.
• Aortem may offset negative balances, reversals, refunds, and chargebacks against future payouts.

8) Brand Features and License

During your active participation in the Program, Aortem grants you a limited, revocable, non-exclusive, non-transferable license to use approved Aortem trademarks, logos, and marketing materials solely to promote Aortem under these Terms.

• You may use only current assets that Aortem provides or approves.
• You may not modify brand assets in a misleading way or use them outside the Program.
• You may not register or use domains, business names, app names, ad copy, or social handles that imply official Aortem ownership or endorsement.
• All goodwill from your use of Aortem brand features belongs solely to Aortem.

9) Data, Privacy, and Messaging Compliance

• You must comply with applicable privacy, advertising, and consumer protection laws and platform rules.
• If you send commercial email, you must comply with CAN-SPAM and similar opt-out, sender-identification, and notice requirements.
• If you use text messaging or similar direct outreach, you must obtain any required consent and honor opt-out requests.
• You may use personal data only as lawfully collected and only as needed for your permitted Program activities.
• You may not send Aortem sensitive personal data or confidential customer data unless Aortem expressly requests it for a documented purpose.

10) Monitoring, Suspension, and Termination

• Aortem may monitor your promotional channels, request sample placements, and require corrective action.
• Aortem may suspend or terminate your account immediately if it believes your conduct creates legal, brand, payment, fraud, or platform risk.
• You may stop participating at any time by ceasing promotion and requesting account closure.
• Upon termination, you must immediately stop using Aortem links, codes, creative assets, trademarks, and official-sounding representations.
• Unpaid commissions remain subject to verification, reversal rights, fraud review, and these Terms even after termination.

11) Changes to the Program

Aortem may update these Terms, the affiliate dashboard settings, and any product-specific or campaign-specific rules at any time. Changes take effect when posted here, published in the affiliate dashboard, or otherwise communicated to you. Continued participation after a change means you accept the updated Terms.

12) Disclaimers, Liability, and Indemnity

The Program, affiliate platform, and marketing materials are provided on an "as is" and "as available" basis. Aortem does not guarantee uninterrupted availability, uninterrupted tracking, error-free reporting, or any minimum level of sales, leads, commissions, or earnings.

To the fullest extent permitted by law, Aortem will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Program. Aortem's aggregate liability under these Terms will not exceed the total commissions actually paid to you under the Program during the 12 months before the event giving rise to the claim.

You will defend, indemnify, and hold harmless Aortem, its affiliates, and their personnel from claims, losses, liabilities, damages, judgments, penalties, and expenses arising out of your promotions, your content, your violation of these Terms, or your violation of law or third-party rights.

13) General Legal Terms

• You are an independent contractor and have no authority to bind Aortem.
• Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship.
• You may not assign these Terms without Aortem's prior written consent.
• If one provision is unenforceable, the rest remain in effect.
• Aortem's failure to enforce a provision once is not a waiver of that provision later.
• Unless a separate written agreement says otherwise, the governing law, dispute, and venue provisions in Aortem's general Terms of Service apply to these Terms as well.
